Terms of Service
By creating an account, starting a trial, or using LateralScout, you agree to these Terms. If you use LateralScout for an organization, you also represent that you can bind that organization.
The service
LateralScout provides searchable attorney roster and related hiring-intelligence data for professional use. It is a commercial information tool only. It is not a law firm, recruiting agency, consumer reporting agency, or credit bureau, and it does not provide legal, recruiting, employment, or compliance advice.
Accounts
You must use a real work email you control. Keep your sign-in links and sessions private. You are responsible for activity under your account and seats you add. One seat is for one person.
Subscriptions and billing
Paid plans and trials are billed through Stripe on the plan, seat count, and interval you select at checkout. Trials may require a payment method and convert to a paid subscription when the trial ends unless canceled first. Fees are due in advance and generally non-refundable except where required by law or expressly stated at checkout. Cancel in the account billing portal before the next renewal to stop future charges. Taxes may apply.
Acceptable use
- No scraping, crawling, bulk harvesting, or automated extraction outside normal product use.
- No reselling, sublicensing, publishing, or redistributing LateralScout data or exports as a competing dataset or feed.
- No spam, harassment, unlawful outreach, or use that violates applicable law (including privacy, employment, and anti-spam rules).
- No sharing login credentials, circumventing access controls, or probing the service for vulnerabilities except with written permission.
- No uploading malware or content you do not have rights to use.
Data accuracy
Roster, contact, move, and opening data are compiled from public and other sources and may be incomplete, outdated, or wrong. You must independently verify anything you rely on before contacting anyone or making a decision. LateralScout does not guarantee accuracy, completeness, or fitness for a particular purpose.
Intellectual property
LateralScout, its software, branding, and the curated database are owned by LateralScout or its licensors. These Terms grant a limited, revocable, non-exclusive, non-transferable right to access the service for your internal professional use during an active subscription or trial. No other rights are granted.
Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATERALSCOUT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATERALSCOUT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. LATERALSCOUT’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE OR THESE TERMS IS LIMITED TO THE FEES YOU PAID TO LATERALSCOUT FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF NONE, FIFTY U.S. DOLLARS).
Indemnity
You will defend and indemnify LateralScout against claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the service, your outreach or hiring decisions, your violation of these Terms, or your violation of law or third-party rights.
Termination
You may stop using the service and cancel as described above. LateralScout may suspend or terminate access immediately for non-payment, suspected abuse, legal risk, or any breach of these Terms. On termination, your license ends; sections that by nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) survive.
Changes
We may update these Terms by posting a revised version. Material changes apply prospectively. Continued use after the effective date is acceptance. We may change or discontinue features with reasonable notice when practicable.
Governing law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Exclusive venue for disputes lies in the state or federal courts located in Delaware, except that LateralScout may seek injunctive relief in any jurisdiction.
